Our firm has successfully represented special committees, special litigation committees, officers, directors and companies in cases filed in state and federal courts throughout the country challenging corporate action or inaction. Our litigators have substantial experience in derivative actions, where we have a recognized expertise, and have litigated the full spectrum of fiduciary duty and corporate governance issues.
We currently represent the special litigation committee of one of Puerto Rico’s largest banks, and is assisting the committee in determining the propriety of legal claims filed against the bank’s directors and officers stemming from a $200 million structured fraud perpetrated against the bank. We first performed extensive forensic analysis of the fraud, analyzed the legal claims and their bases, and assisted the committee in reaching its conclusions and drafting the report. The matter is currently pending adjudication in federal court.
